Independent Contractor Agreement
Please read this agreement
carefully before filling out the online application. It sets forth
the terms and conditions of your relationship with
ServiceAdvantage International, Inc. They are as follows:
1. All mystery shopping assignments performed by you for
ServiceAdvantage International, Inc. are done so on an independent
contractor basis. All ServiceAdvantage International, Inc. mystery
shoppers are designated as independent contractors. As an
independent contractor, you are not an employee of
ServiceAdvantage International, Inc. and ServiceAdvantage
International, Inc. is not your employer.
2. All payments shall be made to you on a fee for services basis.
ServiceAdvantage International, Inc. will not withhold any income
taxes including federal, state and social security from any
reimbursement you receive for your mystery shopping services.
Additionally, ServiceAdvantage International, Inc. will not pay
employment security taxes or any other taxes on your behalf. As an
independent contractor you are responsible for your taxes or any
other taxes due to the government from any compensation you
receive from ServiceAdvantage International, Inc. If your
compensation from ServiceAdvantage International, Inc. is $600 or
above in a calendar year, we will send you a 1099 Form.
3. Because you are an Independent Contractor and not an employee
of ServiceAdvantage International, you are not covered by worker’s
compensation insurance.
4. You are under no obligation to accept any assignments that
ServiceAdvantage International, Inc. offers to you and
ServiceAdvantage International, Inc. is under no obligation to
offer assignments to you. In addition, either you or
ServiceAdvantage, International, Inc. may terminate this Agreement
at will, with or without cause and with or without notice. In the
event of such termination, ServiceAdvantage International, Inc.
shall have no obligation to you except to pay for services
rendered and reimbursable expenses incurred prior to the
termination date.
5. As an independent contractor, you determine how the contracted
work shall be performed subject to general parameters established
by ServiceAdvantage International, Inc.
6. Your services to ServiceAdvantage International, Inc. shall be
on a non-exclusive basis and you are not precluded from engaging
in other business activities except while performing work
specifically for ServiceAdvantage, International, Inc.
7. Mystery shopping often entails out-of-pocket purchases.
Shoppers are reimbursed for such purchases, up to the purchase
amount stated on the assignment. You will not be reimbursed
without a corresponding receipt.
8. You are not to duplicate or disseminate any of ServiceAdvantage
International, Inc. materials, or any part thereof, in any way or
form, without prior written consent of ServiceAdvantage
International, Inc. Upon termination of this Agreement, any and
all property furnished to you by ServiceAdvantage International,
Inc. shall be returned to ServiceAdvantage International, Inc.
9. You agree to not accept an assignment if you are an immediate
family member, employee or a former employee of a client that you
may be assigned.
